Legal Responsibilities and Liabilities for Boards of Directors

Overview:
Purpose/Goal: To assist elected leaders in better understanding their roles within the professional nurses association.
Objectives:
1. Identify three elements of fiduciary responsibility imposed by law.
2. Identify at least two laws that must be considered when serving on a board of directors of a nurses association.
3. Identify at least two ways to avoid criminal or civil liability for decisions of the board of directors.
Author:
Alice J. Bodley, JD, serves as General Counsel of the American Nurses Association and its subsidiaries, the American Nurses Credentialing Center and the American Nurses Foundation. In that capacity, she is responsible for oversight of all legal issues for the ANA enterprise, including intellectual property protection, credentialing, employment and labor concerns, business matters, and analysis of the law as it affects nursing practice. Prior to working for the ANA, Ms. Bodley was a member of the federal government's Senior Executive Service as Chief Counsel to the Chair of the Federal Labor Relations Authority. She has worked in private practice and for a national labor organization, focusing on labor and employment, constitutional, administrative and general business law. She has been a guest speaker at numerous conferences and seminars throughout her career, and she has given presentations on the obligations of governing bodies to local, intermediate and national organizations, highlighting applicable laws and providing practical approaches to leadership challenges. Ms. Bodley has served as Commissioner and Vice Chair of the District of Columbia Human Rights Commission and as Chair of the District of Columbia Civilian Complaint Review Board. She is licensed to practice before the U.S. Supreme Court, the U.S. Tax Court, various federal circuit courts, the U.S. District Court of the District of Columbia and the D.C. Court of Appeals.
